These Terms of Service ("Terms") set out the rules for using the AffiWave platform available at affiwave.com ("Service"), operated by Web Systems, ul. Dąbrowskiego 249/23, 93-231 Łódź, Poland, Tax ID (NIP) 7292462454 ("AffiWave", "we"). By creating an account or using the Service, you ("you", "the user") enter into a binding agreement and accept these Terms. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation.
"Operator" or "program operator" means a customer who runs an affiliate or partner program through AffiWave. "Partner" or "affiliate" means a person enrolled in an operator's program. "End user" means a customer of the operator whose clicks and conversions are tracked. "Conversion" means a tracked event (such as a sale or sign-up) that may trigger a commission. "Commission" means the amount payable to a partner under the operator's rules.
AffiWave provides tools for creating and managing affiliate and partner programs, including tracking, campaigns, commission rules, multi-level (MLM) structures, abuse and risk signals, payouts and analytics. Available features depend on the selected plan and may evolve over time. AffiWave provides the technical infrastructure only and is not a party to the relationship between operators and their partners or end users.
Using the Service requires creating an account with accurate, current information. You are responsible for keeping login credentials and API keys confidential and for all activity carried out under your account. Notify us promptly of any suspected unauthorised access. We may suspend or limit an account where required to protect the Service or in case of a breach of these Terms.
The program operator defines the terms of its own program, including commission rates and types, attribution and cookie window, payout thresholds, partner approval rules and any program-specific policies. AffiWave provides only the technical infrastructure to operate the program and does not set or guarantee any commercial terms between operators and partners.
Tracking is performed through referral links, discount codes, a tracking pixel/script and server-side events (API and webhooks). Attribution accuracy may depend on the operator's configuration, integrations and on end-user browser settings, ad blockers and privacy controls. AffiWave does not guarantee that every click or conversion will be captured or attributed.
Commissions are calculated according to the rules set by the program operator and recorded in the operator's ledger. Payouts are made after approval and once the relevant threshold is reached. The program operator is solely responsible for funding, approving and settling payouts with its partners, including any related taxes and withholdings. AffiWave provides payout tooling but does not act as a payment institution unless expressly stated.
The program operator is responsible for the program's compliance with applicable law, including consumer protection, advertising and unfair-competition rules, tax and accounting settlements, marketing content, partner relationships and obtaining any consents required from end users. The operator indemnifies AffiWave against claims arising from how the operator runs its program.
You and your partners must not use the Service to engage in fraud, cookie stuffing, forced clicks, spam, trademark bidding abuse, misleading or deceptive advertising, self-referrals or fake conversions to claim commissions, reverse engineering, unauthorised security testing, or any activity that violates applicable law or a third party's rights. We may investigate suspected abuse and suspend or terminate programs, accounts or partners that breach these rules.
Paid plans are provided on a subscription basis and billed in advance for the chosen billing period, unless agreed otherwise. Fees, invoices and usage limits are defined by the selected plan and the billing panel. Unless required by mandatory law or expressly stated, fees are non-refundable and partial periods are not pro-rated on cancellation. We may change pricing for future billing periods with prior notice; you may cancel before the change takes effect. Late or failed payments may result in suspension.
AffiWave and its operator retain all rights, title and interest in the Service, software, design, trademarks and documentation. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Service during the term. You retain all rights to the data and content you submit ("Your Content") and grant us the limited licence needed to host and process it to provide the Service. You must not copy, resell, sublicense or create derivative works of the Service except as permitted.
AffiWave provides an API and webhooks. You are responsible for securely storing API keys and for the correctness and security of your integrations with external systems. We may set reasonable rate limits and may change or deprecate API endpoints with reasonable notice. Use of the API is subject to these Terms.
The Service may integrate with third-party services (for example payment providers, ecommerce platforms, email delivery or automation tools). Those services are governed by their own terms and privacy policies, and AffiWave is not responsible for their availability, performance or actions. Your use of a third-party integration is at your own risk.
Personal data is processed in accordance with our Privacy Policy and applicable data-protection law. Where AffiWave processes personal data on behalf of an operator, the operator acts as controller and AffiWave as processor; on request, the parties will enter into a data processing agreement (DPA). Details regarding data retention are described in the Privacy Policy and account settings.
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability and non-infringement. Risk and fraud signals are advisory and do not constitute confirmation of fraud. We do not warrant that the Service will be uninterrupted, error-free or fully secure, or that it will achieve specific sales or detection results.
To the maximum extent permitted by law, AffiWave is not liable for indirect, incidental, special or consequential damages, lost profits, lost revenue or lost data. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law, including mandatory consumer rights.
You agree to defend, indemnify and hold harmless AffiWave and its operator from and against claims, damages, liabilities and reasonable costs (including legal fees) arising from your use of the Service, Your Content, the operation of your program, or your breach of these Terms or of applicable law or third-party rights.
The agreement runs for the duration of the account or subscription. Either party may terminate it - you by closing the account, AffiWave with notice or immediately in case of a serious breach of these Terms, non-payment or unlawful use. On termination, access to the panel ends and data is handled according to the Privacy Policy and applicable retention periods. You may export your data before termination where the Service provides export tools.
We may update these Terms, for example due to changes in features, law or operating conditions. Material changes will be communicated in advance through the panel or by email. Continued use of the Service after the changes take effect means acceptance of the updated Terms; if you do not accept them, you should stop using the Service.
These Terms are governed by Polish law (the operator's registered seat is in Łódź, Poland), without prejudice to mandatory consumer protections that may apply to you. The parties will first seek to resolve disputes amicably; failing that, disputes are settled by the Polish court competent for the operator's registered seat. The English version of these Terms is authoritative; translations are provided for convenience.
